TERMS & CONDITIONS
These Terms and Conditions (“Terms”) govern the use of services provided by Digital Cube Ltd (“the Company”, “we”, “our”, or “us”). By engaging our services or accessing our website, you agree to be bound by these Terms.
Scope of Services
Digital Cube Ltd provides professional services including, but not limited to:
- Branding and visual identity development
- Printing and production services
- Digital design and support services
All services are delivered in accordance with agreed specifications, timelines, and project scope
Engagement & Acceptance
A project is deemed accepted upon:
- Written confirmation (email, signed quotation, or agreement), and/or
- Payment of a deposit
The client acknowledges that acceptance constitutes agreement to these Terms.

Quotations & Pricing
All quotations are valid for a specified period (unless otherwise stated). Pricing is based on the scope of work and may be revised if project requirements change. Any additional work requested beyond the agreed scope will be subject to additional charges.

Payment Terms
A deposit (typically 50%–70%) is required prior to commencement. The remaining balance is payable prior to final delivery unless otherwise agreed. Digital Cube Ltd reserves the right to suspend services in the event of delayed or non-payment.

Client Responsibilities
The client agrees to: Provide accurate and complete information Review and approve designs in a timely manner Ensure final approval before production The Company shall not be liable for errors or omissions approved by the client.

Production & Delivery
Delivery timelines are estimates and may vary depending on project complexity and external factors. While we make every effort to meet agreed deadlines, we shall not be held liable for delays beyond our reasonable control, including those arising from third-party suppliers.

Third-Party Services
The Company may engage trusted third-party partners for production and related services. While we maintain quality control, such services remain subject to the partner’s operational conditions.

Contractual Engagement for Tenders
In the context of formal tenders, requests for proposals (RFPs), or contractual engagements, Digital Cube Ltd agrees to deliver services in accordance with the specifications, scope, and requirements outlined in the tender documents and any subsequent signed agreement.
All tender submissions made by the Company are considered valid for the period specified in the tender or proposal documentation.

Scope of Work & Variations
The scope of work shall be strictly defined by the contract or purchase order issued by the client.
Any modifications, additions, or variations to the agreed scope must be:
- Documented in writing
- Approved by both parties
- Subject to cost and timeline adjustments

Service Level Commitments
Digital Cube Ltd commits to:
- Deliver services in a professional and timely manner
- Maintain agreed quality standards
- Allocate appropriate resources to meet contractual obligations
Service delivery timelines shall be defined within the contract and mutually agreed upon.

Subcontracting & Partnerships
Digital Cube Ltd reserves the right to engage qualified subcontractors or production partners for the execution of certain services, particularly printing and production.
The Company remains fully responsible for:
- Quality control
- Delivery timelines
- Overall project coordination

Compliance with Regulations
Digital Cube Ltd shall comply with all applicable laws and regulations of the Republic of Rwanda, including but not limited to:
- Business registration and taxation requirements
- Procurement and tender regulations
- Health and safety standards (where applicable)

Confidentiality & Non-Disclosure
All information, documents, and materials provided during the tendering and execution process shall be treated as confidential.
Neither party shall disclose such information to third parties without prior written consent, except where required by law.

Conflict of Interest
Digital Cube Ltd declares that it shall avoid any conflict of interest that may compromise the fairness or transparency of the tendering or project execution process.
Any potential conflict shall be disclosed promptly to the client.

Payment Terms for Contracts
Payment terms shall be defined within the contract or purchase order and may include:
- Advance payment (where applicable)
- Milestone-based payments
- Final payment upon completion
Invoices shall be issued in accordance with agreed schedules.

Performance & Quality Assurance
Digital Cube Ltd shall implement internal quality control measures to ensure that all deliverables meet the required standards.
Where applicable, the client may request inspections, approvals, or sign-offs at various stages of the project.

Delays & Force Majeure
The Company shall not be held liable for delays caused by circumstances beyond its reasonable control, including but not limited to:
- Natural events
- Government actions
- Supply chain disruptions
- Third-party failures
Such events shall be communicated promptly, and timelines may be adjusted accordingly.

Termination of Contract
Either party may terminate the contract:
- In accordance with the termination clauses specified in the agreement
- In the event of material breach by the other party
Upon termination, the client shall pay for all work completed up to the termination date.

Dispute Resolution
Any disputes arising from contractual engagements shall be resolved through:
- Amicable negotiation between parties
- Mediation (if necessary)
- Legal proceedings under the laws of Rwanda (as a last resort)

Non-Circumvention
Clients agree not to directly engage or contract subcontractors or partners introduced by Digital Cube Ltd for the same project without prior written consent.

Documentation & Reporting
Where required, Digital Cube Ltd shall provide:
- Progress reports
- Delivery confirmations
- Supporting documentation
This ensures transparency and accountability throughout the project lifecycle.

Acceptance of Deliverables
Deliverables shall be deemed accepted upon:
- Written confirmation from the client, or
- Absence of feedback within a reasonable review period
